INTRODUCTIONBy booking any of our talents, the Client acknowledges and agrees to these terms and conditions, which govern the relationship between SUCH MODELS (hereinafter referred to as the "Agency") represented by The KMR Brands OÜ, registered at Tornimäe 5, 10145 Tallinn, EE, under registration number 16781459, (hereinafter referred to as the "Parent company") and the individual or entity making the booking (hereinafter referred to as the "Client").

§ 1 ROLE OF THE AGENCYThe Agency acts as an intermediary, facilitating bookings and providing statements on behalf of the model. The Client is considered the party making the booking unless otherwise explicitly agreed upon at the time of booking.

§ 2 BOOKING CONFIRMATION AND MODIFICATIONSBookings are binding once confirmed via email. No additional paperwork or signatures are required. Any modifications to the booking, including changes in working hours, location, or other details, must be agreed upon with the Agency in advance. Clients must not request booking changes directly from the model. Direct bookings of the model bypassing the Agency are strictly prohibited.

§ 3 PAYMENT TERMSUnless a different percentage is offered during the booking process, the Agency's commission is 15% of the model's agreed fee or any cancellation fee, plus VAT if applicable. The Client remains liable for the Agency's commission on all subsequent bookings or buyouts involving the model unless otherwise agreed. All payment terms, including the model’s fee, the Agency's commission, any applicable expenses, and additional fees (such as cancellation or buyout fees), will be outlined in the invoice issued by the Parent company. Payments must be made within the agreed timeframe specified on the invoice to avoid a 5% invoice reissue fee, which covers the associated administrative costs. Payment must be made in the local currency or in Euros at the purchasing rate, unless otherwise agreed.

§ 4 CANCELLATION POLICYFixed bookings can be canceled only for significant reasons, which must be communicated to the Agency promptly. Specific cancellation notice periods, fees, and related terms will be outlined in the individual booking agreement, considering the production's unique circumstances.

§ 5 WORKING HOURS AND COMPENSATIONWorking hours, daily rates, and overtime compensation will vary based on the production and must be agreed upon during the booking process. Preparation time, such as makeup or fittings, is included in the model’s working hours unless explicitly agreed otherwise.

§ 6 TRAVEL AND EXPENSESThe Client is responsible for any agreed-upon travel costs, accommodation, or meal expenses for the model. Reimbursement policies, if applicable, will be determined on a case-by-case basis and outlined during the booking agreement.

§ 7 USAGE RIGHTSThe model’s fee does not include usage rights. These rights must be negotiated separately for the agreed purpose, format, and duration. The Agency has the right to invoice usage rights separately at a later time if they were not included in the initial booking, as other work (such as model fees, travel expenses, etc.) should be invoiced directly. Extended usage or the use of the model’s name requires prior written consent from the Agency.

§ 8 COMPLAINTSAny complaints must be promptly communicated to the Parent company. Use of the model in any capacity during a disputed booking constitutes a waiver of the complaint by the Client.

§ 9 LEGAL PROVISIONSThese terms and conditions are governed by German federal law. The place of jurisdiction for any disputes arising under these terms shall be Berlin. The validity of these terms remains unaffected should any individual clause be deemed invalid. In such cases, the invalid clause will be replaced with a provision that most closely reflects the intended purpose
